These Terms of Service govern your use of https://ayvidmedia.com and any services provided by Ayvid Media. By accessing or using our website, software, or services, you agree to these Terms.

1. Definitions

Services: any software, platform, AI tools, APIs, automation systems, consulting services, or digital products provided by Ayvid Media.

User: any individual or entity accessing the Services.

Content: any data, text, prompts, files, or other material submitted to or generated through the Services.

2. Eligibility

You must be at least 18 years old and legally capable of entering a binding contract. If using on behalf of an organization, you confirm authority to bind that organization.

3. Description of Services

Ayvid Media provides AI tools and automation services including: AI agents, automation platforms, API integrations, workflow tools, consulting and implementation services, software subscriptions. Features may change at any time.

4. Account Registration

You agree to: provide accurate information, maintain account security, notify us of unauthorized access. You are responsible for all activity under your account.

5. Payments and Subscriptions

Fees are displayed before purchase. Subscriptions may renew automatically unless cancelled. Users are responsible for taxes and payment fees. Payments processed by third-party providers such as Stripe. We do not store credit card details.

6. No Refund Policy

All payments are final and non-refundable due to the digital nature of the Services, except where required by law. Once access is granted, refunds will not be issued.

7. Acceptable Use

Users may not: violate any laws, distribute malicious software, attempt unauthorized access, impersonate others, engage in harassment or abuse, infringe intellectual property rights, conduct fraud or deception. Violations may result in account suspension or termination.

8. AI System Use and Limitations

AI outputs may be inaccurate and are probabilistic, not guaranteed. AI responses are not legal, medical, financial, or professional advice. Users are responsible for verifying results before relying on them.

9. User Content

You retain ownership of your content but grant Ayvid Media a limited license to process and display it to operate the Services. You are responsible for ensuring you have rights to submit such content.

10. Intellectual Property

All software, code, systems, trademarks, and content remain the property of Ayvid Media or its licensors. Users may not copy, modify, reverse engineer, resell, or distribute any part of the platform without written permission.

11. Third-Party Services

The Services may integrate with third-party tools including cloud infrastructure, payment processors, AI model providers, and APIs. Ayvid Media is not responsible for outages or failures caused by third parties.

12. Service Availability

We aim for reliable service but do not guarantee uninterrupted operation. Downtime may occur due to maintenance, infrastructure failures, or third-party disruptions.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available." We make no warranties regarding reliability, availability, accuracy, or suitability. All implied warranties are disclaimed to the fullest extent permitted by law.

14. Limitation of Liability

Ayvid Media is not liable for indirect damages, lost profits, business interruption, data loss, or consequential damages. Total liability shall not exceed amounts paid in the 12 months preceding the claim.

15. Indemnification

You agree to defend and hold harmless Ayvid Media and its employees, founders, and partners from claims arising from your use of the Services, violation of these Terms, or misuse of AI outputs.

16. Force Majeure

Ayvid Media is not responsible for delays caused by events beyond reasonable control including natural disasters, internet outages, cyber attacks, government actions, or infrastructure failures.

17. Termination

We may suspend or terminate accounts for violations of these Terms, misuse of Services, or attempts to compromise security, without prior notice.

18. Arbitration and Dispute Resolution

Disputes shall first be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration in Ontario, Canada.

19. Class Action Waiver

Disputes shall be resolved individually and not as part of any class action or collective lawsuit.

20. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.

21. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted on ayvidmedia.com. Continued use indicates acceptance.

22. Entire Agreement

These Terms constitute the entire agreement between the user and Ayvid Media.
